Horizon Quantum Signs Letter of Intent to Acquire Entropica Labs for $27 Million

Quantum software developer Horizon Quantum Holdings Ltd. (Nasdaq: HQ) has executed a non-binding letter of intent to acquire Singapore-based fault-tolerance software firm Entropica Labs Pte. Ltd. in an all-equity transaction valued at an anticipated consideration of $27 million in Horizon Quantum Class A ordinary shares. The proposed acquisition remains subject to customary due diligence, financial audits, definitive agreements, and regulatory approvals.

The combination unites two prominent startups originating from Singapore’s quantum ecosystem. Founded in 2018 by Dr. Joe Fitzsimons, Horizon Quantum focuses on abstracting quantum program synthesis via its Triple Alpha integrated development environment, enabling classical software developers to compile hardware-agnostic algorithms without manual circuit gate mapping. Entropica Labs, established the same year by former Centre for Quantum Technologies (CQT) researchers Dr. Tommaso Demarie and Dr. Ewan Munro, specializes in systems software for quantum error correction (QEC), developing Loom—a compiler architected to let hardware manufacturers integrate error-corrected logical operations into their QPUs without independently creating full QEC toolchains.

Integrating Entropica’s QEC architecture into Horizon’s high-level development suite directly targets the emerging transition from physical gate compilation to logical fault-tolerant computing. Rather than treating application synthesis and error correction as disjoint layers, merging Loom with Triple Alpha aims to automate the end-to-end translation of high-level code directly into fault-tolerant circuits, expanding Horizon’s footprint across hardware builders and enterprise software developers as commercial logical processors mature.

Further details on the transaction terms and product roadmaps are available in the Horizon Quantum Press Announcement here.
