(TSXV: PLUR) in a court-approved arrangement valued at approximately C$33.8 million ($23.8 million USD). The acquisition provides QeM with an established enterprise customer base, public-sector procurement vehicles across Canada, the U.S., and NATO, and an immediate commercial sales and deployment channel for its quantum random number generation (QRNG) hardware and entropy modules.
Under the terms of the transaction, Plurilock shareholders will receive C$0.084 in cash and 0.0763 QeM common shares per Plurilock share, implying a total consideration of C$0.28 per share—a 100% premium over Plurilock’s 20-day volume-weighted average price (VWAP) as of September 25, 2026. The transaction is structured as 30% cash and 70% equity, with cash funded from QeM’s balance sheet. Upon closing, existing QeM and former Plurilock shareholders will hold approximately 95.97% and 4.03% of the combined company, respectively. Additionally, QeM has extended a C$2.0 million secured bridge financing facility (8.5% interest) to fund Plurilock’s pre-closing operations and collaborative integration work.
