
Post-quantum semiconductor and public key infrastructure (PKI) provider SEALSQ Corp (NASDAQ: LAES) has led a $10 million Private Investment in Public Equity (PIPE) financing in space technology firm WISeSat.Space Holdings Corp. (NASDAQ: SAIQ). The transaction closed on October 1, 2026, concurrently with the completion of WISeSat.Space’s special purpose acquisition company (SPAC) business combination. Both entities operate as operating subsidiaries of parent technology holding company WISeQey Corp (NASDAQ/SIX: WQEY).
Under the terms of the subscription agreement, SEALSQ purchased ordinary shares at $10.79 per share (matching the SPAC redemption price). The agreement incorporates a price-protection mechanism that may issue up to an additional 1,073,216 ordinary shares if WISeSat.Space’s 10-day volume-weighted average price (VWAP) falls below the purchase price on the 60th calendar day post-closing. Shares issued under the PIPE investment remain subject to customary lock-up provisions.

The capital infusion will fund the deployment of WISeSat.Space’s next-generation low-Earth orbit (LEO) satellite constellation. Under the technical collaboration framework, WISeSat.Space will supply satellite capacity, while SEALSQ will deploy its post-quantum chips, digital identity solutions, and PKI services across space, ground, and user-segment architectures to protect satellite-to-terrestrial IoT data links against future quantum computing decryption risks.
