Trapped-ion quantum computing firm IonQ (NYSE: IONQ) has completed its acquisition of enterprise cybersecurity provider Elisity, Inc. in an all-stock transaction valued at $1.15 billion at closing. The transaction includes an earnout structure of up to $150 million contingent on revenue milestones through January 2028, uniting Elisity’s identity-based network microsegmentation with IonQ’s post-quantum cryptography (PQC) and quantum key distribution (QKD) product roadmap.

While quantum vendors traditionally focus on long-horizon algorithm research or cloud compute access, this transaction gives IonQ an immediate entry into corporate IT security budgets. Elisity’s software layer discovers managed and unmanaged assets across corporate environments, blocking lateral threat movement at machine speed. By pairing this identity policy engine with quantum-safe encryption, the combined offering addresses near-term enterprise security while providing a migration path against long-term “Harvest Now, Decrypt Later” risks.
The closing marks IonQ’s second major corporate transaction in recent quarters, following its acquisition of semiconductor foundry SkyWater Technology to onshore domestic microfabrication. By absorbing an enterprise software vendor with an established CISO customer footprint, IonQ broadens its revenue base beyond scientific computing ahead of federal post-quantum compliance mandates.
